Clear Paths Growth LLC's total liability for any claims arising from services rendered shall not exceed the fees paid by the client in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
Client acknowledges that project delays or non-cooperation on their part, including failure to provide timely information or approvals, may impact timelines and deliverables. Clear Paths Growth LLC is not responsible for such delays or their consequences.
Any request for work beyond the agreed-upon scope of services will be considered a "scope change" and requires a formal amendment to the agreement, potentially incurring additional fees and revised timelines.
Clear Paths Growth LLC is not responsible for backing up client data or materials unless explicitly stated in the service agreement. Clients are solely responsible for maintaining their own backups of all provided information and data.
Client agrees to notify Clear Paths Growth LLC of any competitive relationships or potential conflicts of interest that could arise during the engagement. Both parties will work in good faith to resolve any such conflicts.
Work-in-progress (WIP) and all preliminary materials developed by Clear Paths Growth LLC remain our property until final payment is received and deliverables are formally transferred. Upon final payment, agreed-upon deliverables become the client's intellectual property; our underlying methodologies and proprietary tools remain our own.
Both parties agree to maintain strict confidentiality regarding all shared business information, strategies, and client data, extending beyond the engagement period.
Client agrees to indemnify and hold harmless Clear Paths Growth LLC from any claims, damages, or expenses arising from the client's materials, content, or any third-party intellectual property used or provided by the client.
Invoices are issued monthly and are due within 15 days of receipt. Late payments may incur interest charges as specified in our service agreement.
Either party may terminate the agreement with 30 days' written notice. Services will be billed up to the effective termination date, with any unused prepaid time credited or refunded.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unsuccessful, mediation will be pursued before any legal action. Any legal claims must be brought within two (2) years from the date the cause of action accrued.
Any party intending to pursue a legal claim must provide written notice to the other party at least thirty (30) days prior to initiating any formal proceedings, detailing the nature of the claim.
To the fullest extent permitted by law, both parties waive any right to assert any claims against the other party as a representative or member in any class, collective, or representative action, except where such waiver is prohibited by law.
All agreements are governed by and construed in accordance with the laws of the State of Vermont, ensuring clarity and consistency in legal interpretation.
Terms and Conditions. Services are limited to those explicitly defined in the Statement of Work. Clear Paths Growth LLC is not liable for client implementation failures or outcomes influenced by external factors beyond its direct control.
Force Majeure. Neither party is liable for performance delays or failures caused by events beyond reasonable control, including acts of nature, war, or governmental directives.
Indemnification. Clients agree to indemnify Clear Paths Growth LLC against claims, damages, or expenses arising from their use of our services or any breach of these terms.
Data Protection. We process client data in accordance with applicable privacy laws and our Privacy Policy. Data security measures are implemented to protect sensitive information.
Third-Party Disclaimers. We may recommend or integrate third-party tools and disclaim responsibility for their performance, availability, or any issues arising from their use.
Performance Guarantees. While we strive for excellence, we offer no explicit guarantees of specific financial or growth outcomes, as results depend on various internal and external factors.
Modification of Terms. These terms may be updated periodically. Significant changes will be communicated via email, with continued engagement constituting acceptance of the revised terms.
Governing Law & Jurisdiction. These terms and all related agreements shall be governed by and construed in accordance with the laws of the State of Vermont, without regard to its conflict of law principles. Any legal action or proceeding arising under these terms shall be brought exclusively in the state or federal courts located in Vermont.
Vermont Business Law Compliance. Clear Paths Growth LLC operates in full compliance with applicable Vermont business laws and regulations. Both parties agree to adhere to all relevant state statutes and administrative rules.
